What is an NDA for Niqnex.com

This Non-Disclosure Agreement (“Agreement”) is entered into by and between Niqnex.com (“Disclosing Party”) and the undersigned employee, contractor, vendor, client, or partner (“Receiving Party”), collectively referred to as “Parties.”

The purpose of this Agreement is to protect Niqnex.com’s confidential and proprietary information from unauthorized disclosure, misuse, or exploitation.

1. Confidential Information

“Confidential Information” includes, but is not limited to:

• Website code, software architecture, automation systems, and business processes.

• Proprietary algorithms, trade secrets, pre-development research, and solutions to future problems.

• Marketing, branding, and growth strategies.

• Financial models, pricing structures, and client contracts.

• Any non-public information relating to Niqnex.com’s users, clients, services, or internal operations.

2. Exclusions

Confidential Information does not include information that:

• Is already publicly available at the time of disclosure.

• Is independently developed by the Receiving Party without access to Niqnex.com’s confidential data.

• Is lawfully obtained from a third party without breach of this Agreement.

3. Obligations of the Receiving Party

The Receiving Party agrees to:

• Maintain the confidentiality of all disclosed information.

• Not copy, share, sell, or misuse the information in any manner.

• Use the information solely for the agreed purpose (e.g., fulfilling project work for Niqnex.com).

• Return or destroy all confidential material upon request or upon termination of their relationship with Niqnex.com.

If the Receiving Party breaches this Agreement after obtaining confidential information (including trade secrets or software), Niqnex.com reserves the right to take strong legal action against them, including but not limited to employees, contractors, clients, or partners.

4. Duration

The obligations of confidentiality under this Agreement shall remain in effect during the term of the Parties’ relationship and shall survive for a period of ten (10) to fifteen (15) years after termination of such relationship.

5. Breach & Remedies

In the event of a breach of this Agreement, Niqnex.com may, at its sole discretion, seek:

• Legal remedies, including damages and injunctive relief.

• Enforcement of this Agreement under applicable law.

6. Governing Law

This Agreement shall be governed by and construed in accordance with:

• The Laws of Pakistan, and/or

• The International Court of Justice (ICJ), if Niqnex.com elects to pursue international remedies.

The choice of forum shall be determined solely by Niqnex.com.

7. Entire Agreement

This Agreement constitutes the entire understanding between the Parties with respect to confidentiality and supersedes all prior agreements or understandings, whether written or oral (2024 MLD 1996 Judgement of the High Court of Pakistan).
